WEBSITE USE ONLY — NO SERVICE AGREEMENT. These Terms govern your use of the Website only. They do not create a service relationship, do not constitute an offer of services, and do not bind ALG Luxury to provide any specific service. Property management, estate management, and vacation rental management services are provided exclusively pursuant to separate written service agreements between ALG Luxury and individual property owners. All operational responsibilities, service standards, financial terms, and liabilities related to property management services are exclusively defined in those signed service agreements.

NO RELIANCE. Information, descriptions, and statements about services on the Website are provided for general informational and marketing purposes only. You agree that you will not rely on Website content for any decision regarding ALG Luxury's services or your property. Your decision to engage ALG Luxury for services should be based exclusively on the terms of a written service agreement between you and ALG Luxury.

1. Acceptance of Terms

By accessing the Website, you confirm that you are at least 18 years of age, that you have the legal capacity to enter into these Terms, and that you agree to comply with these Terms and all applicable laws and regulations.

2. Description of Services

ALG Luxury provides property management services for Maui homeowners. Service categories may include:

• Estate Management: Stewardship of homes when owners are off-island, including property inspections, vendor coordination, maintenance oversight, and concierge support. As currently practiced, estate management activities do not include leasing, rental booking, tenant placement, or other activities requiring Hawaii real estate licensure.
• Vacation Rental Management: Full-service short-term rental management, including pricing, listing, guest screening, booking management, housekeeping coordination, and reporting. Vacation rental management constitutes licensed real estate activity under Hawaii law and is provided in association with a Hawaii-licensed real estate brokerage. This service requires a separate management agreement.

Service descriptions on the Website are illustrative. Actual services provided to any client are governed exclusively by an individual written service agreement, which will set forth the specific scope, terms, fees, and obligations applicable to that client.

3. Inquiry Submissions

By submitting an inquiry through our Website, you authorize ALG Luxury to contact you using the information you provided. You acknowledge that submitting an inquiry does not create a service relationship or any obligation on either party.

ALG Luxury reserves the right to decline inquiries at our discretion. We accept new clients on a selective basis and are not obligated to provide services to any prospective client.

You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. You agree not to:

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ALG LUXURY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF ALG LUXURY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ALG LUXURY'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF (A) FIVE HUNDRED DOLLARS (US $500.00) OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO ALG LUXURY FOR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION OF LIABILITY APPLIES ONLY TO CLAIMS ARISING FROM YOUR USE OF THE WEBSITE. ANY LIABILITY RELATED TO PROPERTY MANAGEMENT, ESTATE MANAGEMENT, OR VACATION RENTAL MANAGEMENT SERVICES IS GOVERNED EXCLUSIVELY BY THE APPLICABLE WRITTEN SERVICE AGREEMENT BETWEEN YOU AND ALG LUXURY.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless ALG Luxury, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Website; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any content or information you submit through the Website.

ALG Luxury reserves the right to modify, suspend, or discontinue the Website or any portion of the Website at any time without notice. We may also modify these Terms from time to time. Updated Terms will be posted on the Website with a revised "Last Updated" date. Your continued use of the Website after changes are posted constitutes your acceptance of the updated Terms.

13. Dispute Resolution and Binding Arbitration

PLEASE READ CAREFULLY. This section requires arbitration of disputes on an individual basis and waives your right to a jury trial and to participate in class actions.

Informal Resolution First

Before initiating any formal legal action or arbitration, you agree to first contact ALG Luxury at the address provided in Section 17 and attempt to resolve any dispute informally for at least sixty (60) days. The party initiating the dispute must provide written notice describing the nature of the dispute and the relief sought.

Binding Arbitration

If informal resolution does not resolve the dispute within sixty (60) days, you and ALG Luxury agree that any controversy or claim arising from or relating to these Terms or your use of the Website (excluding claims subject to the carve-outs below) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Maui County, Hawaii, or remotely as the arbitrator may determine. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND ALG LUXURY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.

Carve-Outs

Notwithstanding the arbitration provision above, the following claims may be brought in court:

• Claims for injunctive or equitable relief
• Claims for infringement, misappropriation, or violation of intellectual property rights
• Small claims court actions, provided the action remains in that court and is not removed or transferred

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@algluxury.com within thirty (30) days of your first use of the Website. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, the remaining provisions of these Terms continue to apply, and disputes will be resolved in court as set forth below.

Severability of Arbitration Provision

If any portion of this dispute resolution and arbitration provision is found to be unenforceable, the remainder shall remain in full force, except that if the class action waiver is found unenforceable, the entire arbitration provision shall be null and void and disputes will be resolved in court.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Hawaii, without regard to its conflict of laws principles. To the extent any dispute is not subject to arbitration under Section 13 (including disputes covered by the carve-outs or for users who validly opt out), such dispute shall be resolved exclusively in the state or federal courts located in Maui County, Hawaii, and you consent to the personal jurisdiction of those courts.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any separate written service agreements between ALG Luxury and a client, constitute the entire agreement regarding your use of the Website and supersede all prior or contemporaneous understandings on this subject.
